These terms govern engagement with Darlo for course development, curriculum design, and accreditation guidance services in higher education.
Darlo provides educational services for business and education providers in higher education: course development, curriculum design, examinations and qualifications, accreditation guidance, online instruction, workshops, seminars, mentoring, educational consultancy, research, information services, publications, and provision of facilities for educational classes.
Darlo currently works only with business and education providers based in the United States. Engagement with non-US providers is by separate exception only and at Darlo's discretion.
Engagement fees, milestones, and payment schedule are set in each signed SOW. Payment is by invoice. Darlo does not operate a public checkout or subscription on this site.
Work product produced under an SOW is treated per that SOW's IP clause. Default: client owns the deliverables on full payment; Darlo retains rights to underlying methodology, frameworks, and templates that pre-exist or are general to Darlo's practice.
Information shared between Darlo and client during discovery, proposal, and engagement is treated as confidential. Each SOW may include further specific confidentiality terms.
Where permitted by applicable law, Darlo's total liability arising from any engagement is limited to fees paid by client to Darlo for the engagement giving rise to the claim.
These terms are governed by the laws of the jurisdiction set in each signed SOW. Where no SOW is signed (e.g., this website's lead-capture form), the laws of Estonia, where Darlo's data infrastructure is located, apply.
